Terms and Conditions

These Driver Terms of Service ("Agreement") constitute a legally binding

agreement between you ("Driver", "you", or "your") and GetRouted ("Company",

"we", "our", or "us") governing your access to and use of the GetRouted

platform, applications, and related services (collectively, the "Platform").

This Agreement is governed by applicable Canadian laws and, where relevant,

privacy obligations under the Personal Information Protection and Electronic

Documents Act (PIPEDA).

By clicking Agree, registering for an account, or using the Platform, you

acknowledge that you have read, understood, and agree to be bound by this

Agreement.

1. Independent Contractor Relationship

You expressly acknowledge and agree that:

You are an independent contractor and not an employee, agent, joint venturer,

partner, or representative of GetRouted.

GetRouted does not control, direct, or supervise how you perform deliveries or

operate your vehicle.

You retain sole discretion regarding when, where, and whether to accept delivery

requests.

Nothing in this Agreement shall be construed as creating an employment

relationship.

2. Driver Obligations

You represent and warrant that at all times while using the Platform you shall:

Maintain a valid driver's license

Maintain valid vehicle registration

Maintain valid automobile insurance coverage as required by law

Operate a roadworthy and legally compliant vehicle

Comply with all applicable traffic laws and regulations

Conduct yourself in a safe, lawful, and professional manner

You are solely responsible for the condition and lawful operation of your

vehicle.

3. Assumption of Risk and Full Liability

You acknowledge that providing delivery services involves inherent risks. You

expressly agree that:

You assume all risks associated with driving, pickup, and delivery activities.

GetRouted shall not be liable for any accident, injury, death, damage, loss,

theft, delay, or incident arising from your activities.

You are solely liable for any personal injury, property damage, traffic

violation, or loss that occurs while performing deliveries.

Under no circumstances shall GetRouted be responsible for your driving conduct,

driving habits, driving skill, negligence, or its consequences.

4. Prohibited and Illegal Activities

You agree that you shall not use the Platform to transport:

Illegal drugs or controlled substances

Weapons or hazardous materials

Stolen goods

Any items prohibited by law

If you knowingly or unknowingly transport illegal items, you do so entirely at

your own risk. GetRouted bears no responsibility and reserves the right to:

Immediately suspend or terminate your account

Cooperate with law enforcement

Report suspected illegal activity to authorities where required or permitted by

law

5. No Responsibility for Delivery Contents

GetRouted does not inspect, verify, or control the contents of any delivery. You

acknowledge that:

You choose which deliveries to accept

You are responsible for any consequences related to the transported items

GetRouted shall not be liable for the nature, legality, safety, packaging, or

condition of items transported through the Platform.

6. Conduct and Professional Standards

You agree to:

Treat merchants and recipients with respect

Refrain from harassment, discrimination, threats, or misconduct

Maintain professional behavior at all times

Violation may result in immediate removal from the Platform.

7. Use of Merchant and Recipient Information

You acknowledge that merchant and recipient information provided through the

Platform (including names, addresses, phone numbers, delivery instructions, and

any identity or age-verification information) is provided solely for the purpose

of completing authorized deliveries.

You agree that you shall not:

Use such information for any illegal, unauthorized, or fraudulent activity

Use such information to cause harm, harassment, intimidation, stalking, or

exploitation

Retain, copy, store, photograph, record, distribute, sell, or disclose such

information outside the scope of completing the delivery, except as strictly

necessary to perform the delivery

Use such information for personal benefit or any purpose unrelated to the

delivery

Any misuse of merchant or recipient information may result in immediate

suspension or permanent termination of your account and may be reported to law

enforcement where required or permitted by law.

GetRouted shall not be liable for any damages, harm, loss, or claims arising from

your misuse of merchant or recipient information.

8. Verification, Background Checks, and Identity Consent

You expressly consent to GetRouted performing:

Identity verification

Driver's license validation

Facial image verification

Background checks where permitted by law

You acknowledge and agree that:

This information is collected strictly for internal safety, trust, and

verification purposes

Your information will not be sold, rented, or used for advertising or revenue

generation

Your data will only be disclosed where required or permitted by law, or where

necessary for verification and platform safety using trusted service providers

9. Privacy and Data Protection

All personal data collected is protected using reasonable administrative,

technical, and physical safeguards appropriate to the sensitivity of the data.

Your information is used solely for verification, platform safety, fraud

prevention, and legal compliance.

10. Account Suspension or Termination

GetRouted reserves the right, at its sole discretion, to suspend or terminate

your access to the Platform for unsafe driving, false information, illegal

activity, misuse of information, or violation of these terms.

Termination may occur without prior notice.

11. Limitation of Liability

To the maximum extent permitted by law, GetRouted shall not be liable for any

direct, indirect, incidental, special, punitive, or consequential damages,

including personal injury, death, property damage, loss of income, legal

consequences, accidents, or incidents arising from your conduct, driving,

negligence, skill, or illegal activity.

Your use of the Platform is entirely at your own risk.

12. Indemnification

You agree to indemnify, defend, and hold harmless GetRouted, its owners,

officers, employees, and affiliates from any claims, damages, liabilities,

losses, fines, penalties, costs, and legal fees arising from or related to your

conduct, deliveries, driving, misuse of information, violation of law, or

breach of this Agreement.

13. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of

Canada and the laws of the province or territory in which you primarily reside,

without regard to conflict of laws principles.

You agree that any dispute, claim, or legal proceeding arising out of or related

to this Agreement or your use of the Platform shall be brought exclusively in

the courts of competent jurisdiction located within your province or territory

of residence, unless otherwise required by applicable law.

14. Acknowledgment

By clicking Agree, you acknowledge that:

You have read this Agreement in full

You understand your responsibilities

You accept full liability for your actions

You consent to verification and background checks

You understand that you cannot access the Platform without accepting these

terms.

MERCHANT TERMS OF SERVICE

These Merchant Terms of Service ("Agreement") constitute a legally binding

agreement between you ("Merchant", "you", or "your") and GetRouted

("Company", "we", "our", or "us") governing your access to and use of the

GetRouted technology platform, mobile applications, and related services

(collectively, the "Platform").

By registering, clicking "Agree", or using the Platform, you confirm that

you have read, understood, and agree to be bound by this Agreement.

This Agreement is governed by the laws of Canada and the applicable

province or territory in which the Merchant operates.

1. Nature of the Platform

------------------------------------------------------------

GetRouted is a technology platform that facilitates connections between

Merchants and independent third-party drivers ("Drivers").

GetRouted:

• Is not a carrier, courier company, freight forwarder, or logistics provider

• Does not employ Drivers

• Does not control or supervise Drivers

• Does not take possession of goods

• Does not inspect, open, verify, or handle shipment contents

• Does not guarantee delivery times or outcomes

• Does not sell, manufacture, or distribute any goods

Drivers operate as independent contractors and are solely responsible

for their conduct and performance.

2. Merchant Representations and Warranties

You represent, warrant, and agree that:

• You are legally authorized to sell and distribute the goods submitted

for delivery.

• All shipment contents are lawful, accurately described, and properly packaged.

• All goods comply with applicable federal, provincial, and municipal laws.

• You have obtained all required licenses or permits for regulated goods.

• You will not use the Platform for any illegal, restricted, or prohibited items.

Prohibited items include but are not limited to:

• Illegal drugs or controlled substances

• Weapons, firearms, ammunition, or explosives

• Hazardous materials or dangerous goods

• Stolen property

• Contraband or smuggled goods

• Any items prohibited by law

GetRouted does not verify shipment contents and relies entirely on Merchant-provided information.

3. Recipient Compliance and Age-Restricted Goods

You are solely responsible for compliance with all laws governing the

sale and distribution of your products, including age-restricted goods.

You represent and warrant that:

• Recipients are legally eligible to receive your goods.

• You have performed appropriate due diligence regarding recipient eligibility.

• You remain legally responsible for all age-related compliance.

Any identity or age verification performed during delivery is an operational safeguard only and does not transfer legal responsibility from the Merchant to GetRouted.

4. Condition of Goods and Product Defects

GetRouted does not manufacture, inspect, test, or verify the quality,

safety, legality, or functionality of any goods.

GetRouted shall not be liable for:

• Manufacturing defects

• Product malfunctions

• Internal damage not visible on external packaging

• Incorrect items shipped by the Merchant

• Warranty claims

• Product performance issues

• Customer dissatisfaction unrelated to transit damage

All responsibility for product quality and condition rests solely with the Merchant.

5. Transit Risk and Limited Liability

Risk of loss remains with the Merchant at all times except where direct

physical damage to external packaging is demonstrably caused by a Driver

during active transport.

To submit a transit damage claim, the Merchant must:

• Report the issue within 12 hours of delivery confirmation

• Provide photographic evidence of external packaging damage

• Demonstrate that the damage occurred during active transport

GetRouted shall not be liable for:

• Lost goods

• Delayed deliveries

• Theft during transit

• Driver misconduct

• Indirect or consequential damages

To the maximum extent permitted by law, GetRouted’s total liability for

any claim related to a delivery shall not exceed the amount paid for that

specific delivery.

6. Insurance

GetRouted does not provide cargo insurance unless expressly agreed in writing.

Merchants are solely responsible for obtaining appropriate insurance coverage

for high-value, fragile, perishable, or sensitive goods.

7. Payment Terms

------------------------------------------------------------

GetRouted does not store credit card information.

Payment information is processed only for authorized transactions.

You agree to pay all applicable delivery fees and charges.

8. Accurate Information and Packaging Obligations

------------------------------------------------------------

You agree to:

• Provide accurate pickup and delivery details

• Properly package goods to withstand normal transport

• Provide truthful shipment descriptions

• Treat Drivers respectfully and professionally

Improper packaging may void any potential claim.

9. Suspension and Termination

GetRouted may suspend or terminate your access immediately if:

• Illegal activity is suspected

• Prohibited goods are detected

• You breach this Agreement

• Regulatory risk is identified

Termination may occur without notice and without liability.

GetRouted may cooperate with law enforcement where required by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless GetRouted, its owners,

officers, employees, affiliates, and agents from any claims, damages,

losses, penalties, fines, liabilities, or legal costs arising from:

• Shipment contents

• Product defects

• Age-restricted violations

• Regulatory non-compliance

• Your misuse of the Platform

• Breach of this Agreement

11. Limitation of Liability

To the maximum extent permitted by law, GetRouted shall not be liable for:

• Indirect or consequential damages

• Loss of profits or business interruption

• Loss of inventory

• Regulatory penalties

• Third-party claims arising from goods

Your use of the Platform is at your own risk.

12. Governing Law and Jurisdiction

This Agreement is governed by the laws of Canada and the province

or territory in which the Merchant operates.

Any dispute shall be resolved in the courts of competent jurisdiction

within that province or territory.

13. Entire Agreement

------------------------------------------------------------

This Agreement constitutes the entire agreement between you and GetRouted

regarding Merchant use of the Platform.

By clicking "Agree", you confirm that:

• You have read and understood this Agreement

• You accept full responsibility for your goods and compliance obligations

• You understand GetRouted’s limited role as a technology platform

• You agree to all terms stated herein
